Many consider law is complicated and nothing is said, directly. I intend to give a different treatment for the subject. I have chosen the straight way to explain in an easy and direct method. Language is not to stand as a barrier as many Hindi medium students have been joining MBA, of late. They want the subject to be dealt in an easy way to understand, with practical and professional approach, but not in a legal way. This book is meant for managers of tomorrow. They require understanding of law for managing the business and not to practise as lawyers. Legal concepts are explained in a layman’s language.The best compliment I have enjoyed on my earlier book “Export-Import Procedures, Documentation and Logistics” is from Hindi medium students, pursuing MBA. They have complimented “No difficult words are in the book, which we have not understood”. I thank them for making the book to go for reprint, within six months of its first appearance. This book has been accepted as a recommended reading book at IIM, Indore too.During my interaction and long observation, majority of students and, in particular, working executives, busy with their employment start preparing, a couple of weeks before the commencement of examinations. The basic function of a commercial bank is risk management. Banks have to adopt a risk management approach to maximise shareholder value/net value and to conform to the RBI guidelines (1999). H.R. Machiraju is a Financial Economist. He obtained his Ph.D. in Economics from Indiana University (USA) in 1960, spent the succeeding years teaching, undertaking research and organising Executive Development Programmes (EDPs). He taught at the Andhra University and BITS (Pilani) and has organised EDPs at IFMR (Chennai) and MDI (Gurgaon), and had research stints at NCAER and RBI.

Professor Machiraju`s contribution to Capital Markets area was acknowledged by the High Powered Committee on Stock Exchange Reforms in their report of 1984. Apart from publication of a number of articles and reports, he has authored several books on banking and finance, including The Working of Stock Exchanges in India, Merchant Banking, Mergers Acquisitions and Takeovers and Modern Commercial Banking , which are widely used by both students and professionals.
